HEALTHCARE PROVIDERS

These Terms and Conditions for Use of www.healthyyoucard.com website is a legal agreement (Agreement) between you and MediIT™ Health Solutions (India) Pvt. Ltd., a private limited company incorporated in India, (hereinafter referred to as 'MediIT™', 'Our', 'Us', 'We') providing, among other things, the terms and conditions for your use of subscription services, HealthyYouEHR™ : primarily a web based Electronic Health Record System (EHR) & Practice Management software (PMS) hosted and managed remotely ( the 'Services' or 'Website services') through the website located at www.healthyyoucard.com (the 'Website', 'Site', 'MediIT™'). The site www.healthyyoucard.com is owned and operated by MediIT™.

Read the Terms and Conditions carefully. Your use of Services on the Website means you are consenting to these Terms and Conditions. You could archive the copy of this Agreement for your records.

These Terms and Conditions may be modified from time to time in MediIT™'s sole discretion and you may not be notified. It is your responsibility to review these Terms and Conditions from time to time. You will be deemed to have accepted the Agreement as amended if you continue to use any of the Website services after any amendments are posted on the Website. We reserve the right to include additional terms and conditions if we were to provide additional services or programs. You shall be bound by the same on your participation in such services or programs.

AUTHORISED USERS

You represent that you have read and understood, and that you agree to be bound by this Agreement. The Website services are available to legal entities or individuals aged 18 years or older. By using the Website you represent that you are at least 18 years old.

REGISTRATION

To use the Website services, you may have to be registered and provide your name, valid email address, contact number and other details. Please see our Privacy Policy and practices at http://healthyyoucard.com/dr/wps.html on how the personal information would be used.

ACCOUNT SECURITY

You are solely responsible for the confidentiality of any password and other account information that you create in order to access or use the Services. You agree to notify us immediately on any unauthorized use of your account, user name, or password. You also agree that, we are not liable in any manner for any loss that you may incur as a result of any third party using your password, either with or without your knowledge. You are solely liable for any losses incurred by Us, Our affiliates, officers, directors, employees, consultants, agents, and representatives due to misuse of your account or password. Log-in to your account shall be used by one person. Multiple people are not permitted to share the same/single log-in.

SERVICE AND USE OF WEBSITE

MediIT™ provides Services through the Website - www.healthyyoucard.com, HealthyYouEHR™ : a web based Electronic Health Record System (EHR) & Practice Management software (PMS) as a Software as a Solution (SaaS) model. The details of the Services are provided here http://healthyyoucard.com/pt/healthCards.html . Use of the Website may require you to use software provided by or operated from the Website, and on occasion we may make certain software available to you from the Website. To the extent you use such software or download such software from the Website, the software, including all files and images contained in or generated by the software, and accompanying data (collectively, "Software") will be deemed to be licensed to you by us, for providing Services to you and enabling you to use those Services only. We do not transfer either the title or the intellectual property rights to the Software, and we (or our licensors) retain full and complete title to the Software as well as all intellectual property rights therein. You may not sell, redistribute, or reproduce the Software, nor decompile, reverse-engineer, disassemble, or otherwise convert the Software to a human-perceivable form.

OUR RESPONSIBILITIES

We Shall:

  • provide to You basic support for the Services at no additional charge, and/or upgraded support if purchased separately,
  • use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for:
    1. planned downtime (of which We shall give at least 8 hours notice via the Services and which We shall schedule to the extent practicable during the weekend hours from 6:00 p.m. Indian Standard Time (IST) Friday to 6:00 a.m. Indian Standard Time (IST) Monday), or
    2. any unavailability caused by circumstances beyond Our reasonable control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems (other than those involving Our employees), or Internet service provider failures or delays
    3. and provide the Services only in accordance with applicable laws and government regulations.
  • Provide to You basic Hardware (USB based Smart Card Reader & Writer) at certain fixed cost. The amount will be displayed on the website for various models (approved by MediIT).
  • Provide HealthyYou Health Cards to your patients, who opt for paid services of HealthyYou.

USAGE LIMITATIONS

  • Our Services may be subject to limitations, such as, for example, limits on disk storage space, on the number of calls you are permitted to make against Our application programming interface, and, other limitations dependent on the User Plan, for example, number of SMS, number of users or accounts. Any such limitations are specified in the User Plans. The Services provide real-time information to enable you to monitor your compliance with such limitations
  • We may suspend your ability to use or access the Website at any time while we investigate complaints or alleged violations of this Agreement or for any other reason within our sole discretion. We cannot assure you of accessibility or availability of the website at all times but would strive for an uptime of 99.99%.

PAYMENT, FEES AND TAXES

  • MediIT™ is providing its HealthyYouEHR™ (Electronic Health Record System & Patient Management System) Free of cost to Health Care Providers. Certain specialized services or 3rd Party applications e.g. Drug Database system or CDSS (Clinical Decision Support System) will be charged if the end-users decide to use these modules. The same will be mentioned / displayed on the screen, &, will be activated only after the payment made by the end-user.
  • You agree to pay all subscription fees, consulting fees and other fees applicable to your use of Services and you shall not circumvent the fee structure. The fee is dependent on the User Plan that you purchase and not on actual usage of the services.
  • The subscription fee is non-refundable
  • Each User / Member is solely responsible for payment of all taxes, legal compliances, statutory registrations and reporting. MediIT™ is in no way responsible for any of the taxes except for its own income tax.

Mode of payment:

  1. Online : The Fees could be paid online through the facility made on the Website. Third parties support and services are required to process online fee payment. We are not responsible for any loss or damage caused to you during this process as these third parties are beyond the control of MediIT™.
  2. Offline : The Fees could be either collected personally from you or required to be mailed to Us at the following address :

We consider the payment process to be complete only on receipt of the amount to MediIT™'s designated bank account.

All Fees are exclusive of taxes. Service Tax of 12.3% is levied on every purchase. Fees not received within the specified due dates attract late charges of 18% per annum from the due-date of payment, which may levied at MediIT™'s discretion.

MediIT™ reserves the right to modify the fee structure by providing a 30 day prior notice, either by notice on the Website or through email to the Authorized User, which shall be considered as valid and agreed communication.

In order to process the payments, we might require details of your bank account, credit card number etc. Please check our Privacy Policy : http://healthyyoucard.com/dr/wps.html on how we use the confidential information provided by you.

Non-payment of fee for a continuous period of 3 months, MediIT™ reserves the right to discontinue the Services to you and delete all information in your Account, apart from reserving any legal recourse available.

INTELLECTUAL PROPERTY

MediIT™ grants you a limited license to access and, if you are a Member, to use this Website internally for the Website's Services of ordering, receiving, delivering and communicating only as per this Agreement. You must not sell, copy, reproduce, modify, distribute, display, publicly perform, prepare derivative works based on, repost or otherwise use any content of this Website in anyway other than those listed in this Agreement, including for any public or commercial purposes. You must not use any content of this Website on any other website or in a networked computer environment for any purpose other than your own viewing. You shall not reverse engineer or attempt to interfere with the operation of any part of this Website.

MediIT™ retains all its rights, title and interest in all copyrights, know-how, trade secrets, trademark, logo, the name MediIT™, content, design and features on the Website. All other product names, marks, logos, symbols used on the Website may be the trademarks of their respective owners.

The ownership of the data vests with the Authorized Users.

AFFILIATED / EXTERNAL SITES

Our Site may be linked to the website of third parties, affiliates and business partners. We have no control over, and not liable or responsible for content, accuracy, validity, reliability, quality for such websites or made available by / through our Website. Inclusion of any link on our Website does not imply that we endorse the linked site. You use the links and these services at your own risk.

USER CONDUCT

All Users agree to adhere to the below code of conduct.

While using the Website, software and/or Service, you agree not to :

  • Restrict or inhibit any other visitor or member from using the Website, including, without limitation, by means of "hacking" or defacing any portion of the Website;
  • Use the Website, software and/or Service for any unlawful purpose; or post any information which infringes third party's intellectual property rights or privacy policy.
  • Express or imply that any statements you make are endorsed by us;
  • Transmit
    1. any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringes on our or any third party's intellectual property or other rights;
    2. any material, non-public information about companies without the authorization to do so;
    3. any trade secret of any third party; or
    4. any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities, or other unsolicited commercial communication (except as otherwise expressly permitted by us), or engage in spamming or flooding;
    5. any job posting involving any franchise, club membership, distributorship or sales representative agency arrangement or other business opportunity.
    6. Transmit any software or other materials that contain any virus, worm, time bomb, Trojan horse, or other harmful or disruptive component;
    7. Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Website or software;
    8. Remove any copyright, trademark, or other proprietary rights notices contained in the Website;
    9. "Frame" or "mirror" any part of the Website without our prior written authorization;
    10. Link to any page of or material on the Website other than the URL located at www.healthyyoucard.com
    11. Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents; or
    12. Harvest or collect information about Website visitors or members without their express consent.

WARRANTY DISCLAIMER

The Services provided by MediIT™ or any of our licensors or providers are provided "as is," as available, and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade). We make no representations or warranties, of any kind, either express or implied, as to the quality, identity or reliability of any third party, or as to the accuracy of the postings made on the Website by any third party.

COMPLIANCE TO LAWS

The Users are solely responsible for compliance to all applicable laws, including patient history, medical records, confidential information and privacy laws. MediIT™ is a facilitator for practice management and provides technology platform. MediIT™ is in no way responsible, liable, accountable for patient information available on the software provided by MediIT™.

INDEMNITY

You agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of Website, your violation of this Agreement, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. We will notify you promptly of any such claim, loss, liability, or demand, and in addition to your foregoing obligations, you agree to provide us with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost

TERMINATION

You can terminate your Membership with us at any time by providing 30 days of prior written notice to unsubscribe@healthyyoucard.com. We need this period to inactivate your Account, only after verifying if there are any ongoing or pending Services or payments. We may want you to continue until the completion of an on-going Service should the situation warrant.

You shall be obligated to pay MediIT™ for any Services for which you have procured.

MediIT™ reserves the right to terminate any Account in cases

  1. you breach any terms and conditions of this Agreement.
  2. we are unable to verify or authenticate any information you provide to us; or
  3. we believe in our sole discretion that your actions may cause legal liability for you, our Users or for MediIT™ or are contrary to the interests of the Website.

Once temporarily suspended, indefinitely suspended or terminated, you may not continue to use the Website under the same Account, a different Account or re-register under a new Account. On termination of your Account due to the reasons mentioned herein, you shall no longer have access to data, messages, files and other material you keep on the Website. Please ensure that you have continuous backup of the Services you have rendered in order to comply with your record keeping process and practices.

Return of Your Data

Upon request by You made within 30 days after the effective date of termination of a Services subscription, We will make available to you for download a file of your Data in readable format. After such 30-day period, we shall have no obligation to maintain or provide any of your Data and shall thereafter, unless legally prohibited, delete all of your data in Our systems or otherwise in Our possession or under Our control.

In the event we suspend or terminate your registration or Account, we reserve the right but not an obligation to

a. notify other Members
b. provide them the reason for the action that we have taken.

Even after termination, certain obligations mentioned under Warranty Disclaimer, Limited Liability, Indemnity, Intellectual Property, Dispute Resolution will continue and survive termination.

Even after your termination, patients registered by you or visited you for your service will continue availing HealthyYouCard services from other HealthCare service providers. They have all the rights on their own Health Records.

DISPUTE RESOLUTION

Our goal is to provide Services efficiently and communicate effectively with Users / Members to prevent any dispute. Should a dispute arise between you and MediIT™, you shall agree with us to resolve such dispute quickly and cost effectively. Before resorting to any legal recourse we urge you to contact our Customer Service team so that we can resolve issues amicably.

NOTICES AND COMMUNICATION

MediIT™ communicates with you through the email address you have provided us. It is your responsibility to keep your email address and snail mail address update at all times. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirement that such communications be in writing. If you fail to respond to an email message regarding violation, dispute or complaint within two business days, we reserve the right to terminate or suspend your Account.

All notices to us intended to have a legal effect must be in writing and delivered to the following address:

GOVERNING LAW

These Terms of Use and any contractual obligation between Us and You will be governed by the laws of India, subject to the Courts in MUMBAI.

SEVERABILITY; WAIVER

If any provision of this Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

CARD MEMBERS AGREEMENT

Detailed Terms & Conditions for MediIT Health Solutions (India) Pvt. Ltd. [MediIT] HealthyYou Health Card:

The Terms & Conditions of the HealthyYou Health Card, the medical practitioners/ service providers empanelled with MediIT Health Solutions (India) Pvt. Ltd. (hereinafter referred to as 'MediIT') & the offers made on the HealthyYou Health Card may periodically change. We hence request you to check for these changes on the website & by calling us on our help line numbers on a regular basis. HealthyYou Health card Member (hereinafter referred to as 'Member') is defined as an individual who has a valid and current HealthyYou Health Card issued by MediIT Health Solutions (India) Pvt. Ltd. Usage of the HealthyYou Health Card by the Member implies that the Member agrees to the following terms and conditions of Service, Refund, Cancellation & other terms as incorporated herein and understands that these terms govern the use of MediIT's HealthyYou Health Card. All Members are understood to have read (on their own behalf and on behalf of their dependents/family/other members) the following terms and conditions and agree to abide by these Terms of Use. MediIT Health Solutions (India) Pvt. Ltd. reserves the right to modify, alter or otherwise update these Terms at any time and all Members agree to be bound by such modifications and/ or updates.

MediIT is a facilitator in providing access to quality healthcare services and in helping people save on their health care costs. MediIT does not recommend or suggest any particular medical provider or promote any particular medical provider's name or practice. It is at the sole discretion of the HealthyYou Member to choose and access any of the available empanelled medical providers. All doctors, dentists, laboratories, others are welcome to participate in this and partner with MediIT to make a lasting impact on the health of the common man. All medical providers empanelled with the MediIT network have agreed to participate in this. MediIT offers these services to the general public, corporate organisations and others by charging fees, free or at subsidised rates. MediIT offerings are not insurance and do not involve any reimbursement back to any Member, for any of its services.

The HealthyYou Health Card provides the Member access to a network of voluntarily participating medical professional / dentists/pharmacies/ hospitals & other medical practitioners / vendors (hereinafter referred to as 'Network Members') who are independent practicing professionals. Network Members are independent contractors in private practice and are neither employees nor agents of MediIT and / or its parents, subsidiaries or affiliates ("MediIT Health Solutions (India) Pvt. Ltd."). The availability of any particular Network Member cannot be guaranteed, and provider network composition is subject to change without notice. MediIT does not provide medical, dental/pharmacy or any other treatment/medical services (hereinafter referred to as 'Medical Services') and is not responsible for outcomes. All Medical Services is the responsibility of the treating Network Member, to be carried out in consultation with the Member. Selection of the Network Member is finally the responsibility of the Member and is not based on any representations or recommendations by MediIT.

The Network Members have agreed to offer their services at subsidised fee/price for the cause of increasing health awareness, specifically preventive health care. The term "Subsidised Fee" means a service that is available to a Member at a lower cost from fees normally charged by the provider and for which the Member is solely financially responsible. The Member understands that all payments to Network Members are due and payable at the time of service. In order to receive medical services at the subsidised fee, a Member must present his / her Membership card to the Network Member before Medical Services are rendered & agree to the applicable fee accordingly. Members must pay the Network Member before directly at the time of Medical Service unless otherwise agreed upon between Network Member and the Member. If a Member wishes to confirm the current fee for a particular Network Member, he / she should first contact the Customer Care Number of HealthyYou for guidance.

MEMBERSHIP TERM : Once the initial "Membership Fee" and any enrollment, processing or other fee is paid and received, a Member will be entitled to the subsidised medical/pharmacy services during the membership period as defined by the expiry date given on the face of the HealthyYou Health Card (from the date of activation) or as otherwise stated on the valid / active HealthyYou Health Card.

RENEWAL OF MEMBERSHIP : Members may be informed at least one month in advance before their card expiry date. It is the responsibility of the Member to ensure that MediIT receives the payment for renewal of membership renewal at least two weeks prior to the Card expiry. MediIT is not responsible and assumes no liability for any disruption of service in case the payment gets delayed or the payment cheques are dishonoured. In case of dishonoured cheques, a penalty will be charged. Card services will remain suspended till the realization of the payment.

RENEWAL CHARGES : The charges for renewal can be confirmed by calling the HealthyYou Help Lines number a month in advance of the expiry date. Kindly note that any Medical Services being offered at subsidised rates will not be offered at these rates by the Network Member as soon as the card validity has lapsed.

CANCELLATION : If a Member wishes to cancel and / or terminate his / her Membership, he may do so by calling HealthyYou Help Lines number within 14 days of joining. In all eventualities, decision of MediIT will be final and binding on all the parties. For more on Cancellation Policy, click here …

LOST CARD : In case of loss of Membership Card, a Duplicate Card may be issued at the nominal charges of Rs. 500 /-. The tenure of the membership will remain as specified in the initial membership card.

COMPLAINTS : Members are advised to address their complaints, if any, to our representatives. They are there to help you out. However if you are not satisfied, you may write to us at our corporate office address or mail us at complaints@mediit.in

The Member's rights or duties under this Agreement may not be assigned or delegated without the prior express written consent of MediIT. Member agrees that he / she will use his / her Plan or Program Membership only for his / her personal benefit or for the benefit of his / her Family Members/others who have individual HealthyYou Health Cards for themselves (in case of Family or Couple plan). The Member is responsible for paying Network members for all services rendered unless otherwise agreed upon by the Member and Network Member. MediIT is in no way responsible for the Medical Services provided by a Network Member.

The Network Member will offer the subsidised rates on treatments, procedures and services managed and serviced by the Network Member directly (& not necessarily by other doctors, visiting or consulting doctors etc) & within the premises of the Network Member, and not for any further treatment, check or service required elsewhere. It may not be necessary that all services, tests, medical fields, doctor types are covered by the HealthyYou Health Card & the Network Member may not be able to provide subsidised service on select procedures, i.e. the subsidised services may not be offered on all treatments and procedures offered by Network Member. Any existing offer or package at the clinic or planned by Network Member may not be clubbed and the Network Member may offer only one of the offers (either offer on HealthyYou Health Card or existing packages) or on those services.

The Member should clarify all rates and fees before going forward for any consultation, treatment or services with the HealthyYou Network Member & should also clarify the subsidised rates/prices in advance (& all other details about the treatment, check up, test, or other services etc) & be satisfied about the same before starting the treatment. MediIT will not participate or be responsible for any dispute on the same (related to rates and subsidised rates once the treatment has started & costs have been incurred). If a particular Network Member does not offer the subsidised rates as per the Member's satisfaction, the Member should contact HealthyYou Helpline numbers & MediIT will refer the Member to other Network Members empanelled with MediIT. MediIT will not be responsible for providing any compensation to the Member for the charges levied by the Network Member.

MediIT offers different variants of HealthyYou Health Plans to customers and features/ benefits offered could vary from one variant to the other. Please refer to your HealthyYou Health Plan welcome pack to check which benefits are offered on your HealthyYou Health Plan variant.

In the case of a Couple or Family HealthyYou Health Plan membership, there needs to be one person designated at the time of applying as the Primary Member.

The 'HealthyYouDoctor' facility offers Members the option of seeking preliminary medical advice over the phone. MediIT is responsible for ensuring that the doctors involved possess the requisite qualifications to give medical advice. The 'HealthyYouDoctor' benefit is available between 10 am - 8 pm (IST) on all working days. However, there may be times when doctors may be unavailable for some reason to answer the Members' call. Members may need to dial an outstation mobile phone number to access the 'HealthyYouDoctor' benefit, in which case applicable call charges will be incurred by the Member. Please note that the medical advice given over the phone will be restricted to consultation for routine or minor illnesses only. Members are advised to visit a medical practitioner for any urgent requirement. MediIT does not undertake any responsibility for any treatments, services & procedures advised by the Network Members, including those advised under the 'HealthyYouDoctor' program. The choice of following any such guidelines is entirely at the Member's discretion.

The 'HealthyYou Second Opinion' facility offered entitles a Member to seek a medical opinion from relevant specialist medical practitioners Online (through Video Conference Call or through E-Mail). This service will be offered by MediIT on a best effort basis, and MediIT does not guarantee that it will be able to provide this in every case. Member can avail 'HealthyYou Second Opinion' facility by making a payment online as mentioned in the rate card of the Doctor.

MediIT is not a merchant, manufacturer, or provider of the Medical Services. MediIT does not give any warranty, express or implied, as to description, quality, fitness for any particular purpose, productiveness, or any other matter, for any services or merchandise purchased or received by a Member from a Network Member through his / her card membership. In the event that any product or service purchased or received by a Member is defective, or otherwise unsatisfactory, the Member will deal directly with the Network Member for any repair, exchange, refund or satisfaction of claim.

MediIT & the Network Member who are part of the HealthyYou Health Plan network reserve the right to revise their charges at any time.

Each Member, for himself / herself, and on behalf of any Family Member who uses the services under the HealthyYou Health Card hereby forever releases, acquits and discharges each of MediIT and its employees, officers, directors, agents and affiliates from any and all liabilities, claims, demands, actions and causes of action that such Member or his / her legal representative(s) may have by reason of any damage or personal injury sustained as a result of or during the course of the use of any Medical Services.

HealthyYou Health Plans offered by MediIT are not health insurance policies. The Card provides subsidised services through its empanelled Network Members at certain health care centers. The benefits provided through HealthyYou Health Plans are not applicable if a Member is claiming insurance benefits on the medical services provided. The Member is obligated to pay for all health care services from those Network Members who have contracted with HealthyYou Health Plans for providing services under the empanelment agreement.
